WEB SITE DESIGN AGREEMENT
These are the terms of our agreement:
The client is engaging Gateway Services as an independent contractor for the specific project of developing and/or improving a website.
All quoted prices are in US Dollars.
Deposit
A template design deposit is required before any design work begins. If you cancel your web design project within the 30 day money back guarantee period and request a refund, your total payments to Gateway Services for the web design project minus any deposit that was paid will be eligible for a refund. Refund of the deposit money is at the sole discretion of Gateway Services. Gateway Services may decide to keep all or part of the deposit money to cover any losses it incurred on behalf of the client See refund policy.
Website Development Costs
1) Original template development or modifications fees are charged at an hourly rate of $50.
2) Additional skills that are used in creating the website will be charged at our hourly rate. These include but are not limited to:
- photography
- code scripting and custom forms
- copy writing
- graphic creations and image modifications
3) Additional web pages created from the template design are charged at a rate of $50.00 each. The text and image content will be supplied by the client unless Gateway Services is supplying the client with these services.
Webmaster Services
Webmaster services are not included in this agreement and are billed separately. If you are not able to upload the web pages and control scripts of your new web site to the web server computer you will need to hire a competent webmaster to do this for you. We can provide webmaster services at a rate of $50 per hour or you can subscribe to our monthly Maintenance Plan for only $19.95
Authorization
If you are hiring us to provide webmaster services, you the client hereby authorizes Gateway Services to access this account, and authorizes the Internet Service Provider to provide Gateway Services with "write permission" for the client's web page directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project.
Web Site Content
The content of the Web pages will be supplied by the client and executed as specified by the client in an email or document form.
Changes to Submitted Web Site Elements
The time required to make changes to any elements (text, graphics, scripts etc.) of the website after we have finished construction, will be billed at our hourly rate unless the client already has Maintenance Plan established with us.
Internet Service Provider / Web Host
The web site will need to be hosted on an Internet Service Provider (ISP) computer before the site will become viewable on the Internet, this requires a separate contract with the ISP of the client's choice. We can provide you with ISP web hosting.
Domain Name
It is the clients responsibility to provide and renew the web site's domain name registration. We can provide you with a domain name.
Search Engine Optimization (SEO)
Your website design template is constructed to be search engine friendly however our superior SEO service is a separate agreement and is not included as part of a new website design.
Completion Time
Gateway Services and the client must work together to complete the website expeditiously. Gateway Services agrees to complete the website within 30 days from date of the initial payment of fees provided the web host information and all other client materials are supplied to Gateway Services in a timely manner.
Assignment of Project
Gateway Services reserves the right to assign other website designers or subcontractors to this project to insure the right fit for the job as well as on-time completion of the website design.
Legal
Gateway Services does not warrant that the functions contained in the web pages will meet the client's requirements or that the operation of the website pages will be uninterrupted or error-free. The entire risk as to the quality and performance of the website lies with the client. In no event will Gateway Services be liable to the client or any third party for damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or website, even if Gateway Services has been advised of the possibility of such damages.
Copyrights and Trademarks
The client represents to Gateway Services an unconditional guarantee that all elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Gateway Services for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements , and will hold harmless, protect, and defend Gateway Services from any claim or suit arising from the use of such elements furnished by the client.
Copyright to Web Pages
Copyright to the assembled work of Web pages produced by Gateway Services is owned by Gateway Services. Upon final payment of this contract, all rights owned by Gateway Services as to the design, graphics, and text in this Web site are assigned to the client. Rights to photos, graphics, and CGI programs which were not owned by Gateway Services are limited to the client's use only; the products themselves remain the property of their respective owners.
Non-payment of Fees
Gateway Services reserves the right to remove Web pages from viewing on the Internet if the client has an unpaid balance for services rendered. In case collection proves necessary, the client agrees to pay all fees incurred by that process. This agreement becomes effective when you click the "accept" button on this page. The client agrees that for purposes of venue, this contract was entered into in the country of Antigua and Barbuda, and any dispute will be litigated or arbitrated in that country.
Sole Agreement
The agreement contained in this "Web Site Design Agreement" constitutes the sole agreement between Gateway Services and the client regarding this website design project.
